Michigan Association of Colleges and Employers (Mi-ACE) By-Laws ARTICLE I - NAME The name of this organization shall be the Michigan Association of Colleges and Employers. It is hereafter referred to as Mi-ACE. ARTICLE II - MISSION The mission of Mi-ACE is to maximize the career potential of college educated adults by fostering employer/college and university relationships, facilitating the sharing of information on career planning and employment opportunities in Michigan, providing professional development opportunities for its membership through meetings, workshops, and committee activity, promoting camaraderie among its employer and collegiate membership, and actively supporting collaborative career/employment events within Michigan and the Great Lakes region. ARTICLE III - SCOPE SECTION 1. Mi-ACE shall be a nonpartisan, nonsectarian, nonpolitical, and non-profit organization. SECTION 2. Mi-ACE is organized within the regulations of Section 501(C) (3) of the Internal Revenue Code and operates within the meaning of this Code. SECTION 3. No member shall directly benefit financially from this organization. Any money which accrue to the organization shall be used for educational, programming, and promotional purposes only. SECTION 4. Should the organization cease to exist, all assets shall be divided equally among the institutions represented in the current membership. ARTICLE IV - MEMBERSHIP SECTION 1. Voting memberships of Mi-ACE are College, Employer, and Affiliate. All voting members may chair committees and may hold elected office. Nonvoting memberships in Mi-ACE are Honorary and Associate. SECTION 2. COLLEGE MEMBERS are persons engaged in providing career services at any institution of higher education within the State of Michigan. College membership with voting privileges may be granted to career representatives from institutions located in an adjoining state or province. SECTION 3. EMPLOYER MEMBERS are persons engaged in recruitment of personnel from accredited institutions of higher education, their organization recruits from institutions within the State of Michigan, and their organization is directly engaged in recruitment or placement of college students or graduates for employment within their own organization. SECTION 4. AFFILIATE MEMBERS are persons who provide a service to the career services and/or college relations/recruiting functions but not as College or Employer Members. Affiliate members must be approved by the Executive Board and their dues are the same as College and Employer Members. SECTION 5. HONORARY MEMBERS are former members of Mi-ACE or any person who has made a notable contribution to the field of college recruitment or career services. They may be nominated by the membership to the Executive Board subject to election by a two-thirds majority of the Executive Board. Such formalized recognition will be recognized by the issuance of a certificate. Honorary Members will have full membership privileges, except holding office and voting and will pay dues set at a reduced rate as determined by the Executive Board. SECTION 6. ASSOCIATE MEMBERS are retirees or Members who have changed career direction and who are continuing their association with Mi-ACE. Associate Members will have full membership privileges, except holding office and voting and will pay dues set at a reduced rate as determined by the Executive Board. SECTION 7. Each College, Employer, or Affiliate Member in good standing upon annual payment of dues is eligible to vote at general meetings. SECTION 8. The Executive Board acts on all applications for membership from persons who do not meet the specific requirements for membership. The decision of the Executive Board is final. ARTICLE V - EXECUTIVE BOARD SECTION 1. The Executive Board administers the operations of Mi-ACE according to its By-Laws. The Executive Board consists of the President, Vice President - College, Vice President - Employer, Past President, Secretary, and Treasurer. Each member of the Executive Board has one vote. SECTION 2. Should a position held by a member of the Executive Board, other than the presidency, be vacated, the Executive Board will appoint a replacement to fill the unexpired term of office. Should the office of President become vacant, the Vice President - College will assume the duties of the President. In the even that the Vice President - College cannot serve, the Vice President - Employer will serve as President. SECTION 3. Executive Board members will serve no more than two consecutive terms in the same office. SECTION 4. The Executive Board will have a minimum of two meetings a year. SECTION 5. A quorum of the Executive Board consists of four voting members, including the President or a Vice President and at least one representative of each voting constituency (College and Employer). SECTION 6. The Executive Board may appoint as ex officio (nonvoting) such individuals as necessary for its management of the operations of Mi-ACE. These could include Regional Member Representatives and/or those performing essential administrative, fiscal, and communication functions. The President is authorized to invite other persons top attend meetings of the Executive Board. SECTION 7. The Executive Board, acting through the President, will arrange for audits of the financial records of Mi-ACE, consistent with appropriate legal and accounting standards. ARTICLE VI - OFFICERS SECTION 1. Eligibility for Office. To be eligible as a candidate for elected office an individual must be a voting member in good standing. SECTION 2. When possible, the offices of President, Secretary, and Treasurer will be elected alternately from the College Membership and the Employer Membership. SECTION 3. Those holding office may succeed themselves in the same office for only one additional term. They may be nominated to that same office in a future election. SECTION 4. The term of office shall be for one year for all officers except for the Treasurer and Secretary which will be two year terms. SECTION 5. Elections or appointments of the Treasurer and the Secretary shall be conducted in a manner that maintains alternation in their terms of office. SECTION 6. The officers shall serve without compensation and will devote their time and efforts in the best interests of the organization. ARTICLE VII - POSITIONS AND DUTIES SECTION 1. The President shall be the Chief Executive Officer of Mi-ACE, presiding over all meetings and administering the business of the organization, appoints replacements as necessary, appoints chairs and regional representatives, and serves as the liaison to the Conference Chair. SECTION 2. The Vice President - College shall represent the College members on the Executive Committee, advises the President on matters relating to the interests of College Members, and coordinates special projects as may be assigned by the President. SECTION 3. The Vice President - Employer shall represent the Employer members on the Executive Committee, advises the President on matters relating to the interests of College Members, and coordinates special projects as may be assigned by the President. SECTION 4. The Past President will serve on the Executive Board with the officers and chair the Nominations Committee. SECTION 5. The Secretary shall prepare and distribute minutes of meetings, produces a Membership Roster, newsletters, information for the membership, and performs secretarial functions as requested by the Executive Board. SECTION 6. The Treasurer shall account for all funds, disburse and collect money, prepare a budget, submitting a financial report to the members at each meeting, verifies financial reports of all association events and meetings, and maintains accounts at financial institutions as directed by the Executive Board. ARTICLE VIII - REGIONAL MEMBER REPRESENTATIVES SECTION 1. Mi-ACE is comprised four regions throughout the state of Michigan. They are: Region One - Northern Michigan and the Upper Peninsula; Region Two - Mid to East Michigan including the thumb Region Three - Mid Michigan to Lakeshore; Region Four - Southern Lower East Michigan. SECTION 2. One or two college member representatives will be selected by the Executive Board from public universities and community colleges and the private colleges, universities, and two-year colleges within each region. SECTION 3. One or two employer member representatives will be selected by the Executive Board from organizations within each region SECTION 4. The Regional Member Representatives will coordinate Mi-ACE activities in the regions, will actively recruit members, and may be invited by the Executive Board to participate in Executive Board meetings, to serve on committees, or to support Mi-ACE member services. ARTICLE IX- ELECTIONS SECTION 1. Elections of officers shall be held at the spring meeting. SECTION 2. A slate of nominees shall be presented to the membership prior to the spring meeting. All members will be contacted and encouraged to nominate themselves and/or other members of their constituency (College or Employer) to office. SECTION 3. The nominee receiving the greatest number of votes for an office will be elected to that office. In case of a tie vote, the winner will be decided by lot. SECTION 4. Newly elected officers shall begin their term of service on July 1 following the spring meeting. ARTICLE X - COMMITTEES SECTION 1. The officers of Mi-ACE shall authorize and define the powers and duties of all committees. SECTION 2. Committees will serve in an advisory capacity only and shall not commit Mi-ACE to any legal obligation without approval of the Executive Board. ARTICLE X - FISCAL YEAR SECTION 1. The fiscal year shall run from July 1 to June 30. ARTICLE XI - MEMBER MEETINGS SECTION 1. At minimum, there shall be one annual meeting for the entire membership. SECTION 2. All members shall be notified by direct mail of the dates and places of Mi-ACE meetings. SECTION 3. Business conducted at all meetings shall be by majority vote of the voting members present. ARTICLE XII - DUES SECTION 1. Annual membership dues shall be determined by the Executive Board and approved by the voting membership. SECTION 2. Dues shall be payable upon receipt of a dues notification for voting members and Associate Members. Dues are waived for Honorary Members. SECTION 3. Dues are payable within 30 days of billing. If dues remain unpaid after 90 days of billing, membership is concluded. SECTION 4. Payment of annual dues entitles College Members, Employer Members, and Affiliate Members voting power, eligibility for elective or appointed office, and all related privileges of membership. ARTICLE XIII - AMENDMENTS SECTION 1. Amendments to these By-Laws may be made by an affirmative vote of two-thirds of the voting members present at any general meeting of the membership. SECTION 2. Proposals to amend the By-Laws may be initiated by the Executive Board or by a written petition to the Executive Board from an individual member with endorsement by two member representatives from different institutions/organizations. Petitions must be received by the Executive Board 30 days before the general meeting of the membership. November, 2008. |
